Acceptance of these Terms
These Terms & Conditions (“Terms”) form a binding agreement between you and OfficeOnDemand (as defined below). By accessing or using officeondemand.in (the “Platform”) — whether you submit an inquiry, browse listings, list a workspace, or simply view a page — you confirm that you have read, understood, and agreed to these Terms and to our Privacy Policy.
If you do not agree, you must not use the Platform. If you are using the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
You must be at least 18 years old and capable of entering into a binding contract under Indian law to use the Platform.
Section 02
Definitions
In these Terms:
- Platform
- officeondemand.in, including all subdomains, APIs, mobile interfaces, and related services operated by OfficeOnDemand.
- OfficeOnDemand / We / Us / Our
- The sole proprietorship of Mrs. Aneesa Sachdeva, trading as “OfficeOnDemand”, with its registered office at Office Suite No. A-415, 4th Floor, Tower-A, Bestech Business Towers, Sector 66, Mohali – 160062, Punjab, India.
- User / You
- Any person or entity who accesses or uses the Platform.
- Seeker
- A User who uses the Platform to discover, evaluate, inquire about, or rent commercial workspace.
- Owner
- A User who lists or offers a commercial workspace through the Platform, whether as a building owner, operator, manager, or authorised representative.
- Listing
- A page on the Platform describing a workspace offered by an Owner, including photographs, written description, pricing, availability and amenities.
- Lead
- Contact information and inquiry details submitted by a Seeker in connection with a Listing.
- Successful Match
- Any rental, license, lease, leave-and-licence, service agreement, virtual-office arrangement, or similar transaction entered into between an Owner and a Seeker where the Seeker was first connected to the Owner through the Platform — whether or not the resulting contract is executed on the Platform.
- Content
- All text, photographs, descriptions, ratings, reviews, data, or other material submitted to or displayed on the Platform.
Section 03
About OfficeOnDemand
OfficeOnDemand is a verified commercial workspace marketplace operating in the Tricity region (Chandigarh, Mohali, Panchkula and New Chandigarh) and adjacent commercial corridors.
The Platform is owned and operated by the sole proprietorship of Mrs. Aneesa Sachdeva. The registered office is Office Suite No. A-415, 4th Floor, Tower-A, Bestech Business Towers, Sector 66, Mohali – 160062, Punjab, India.
Section 04
Nature of our Service
The Platform is an information and matchmaking service. We provide tools that help Seekers discover workspaces and help Owners reach qualified inquiries. OfficeOnDemand is not a party to any rental, license, lease, or service agreement between a Seeker and an Owner. We do not own, control, manage, inspect, certify, or guarantee any workspace listed on the Platform.
We provide an “intermediary” service within the meaning of Section 2(w) of the Information Technology Act, 2000, read with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
While we conduct admin review of Listings and photos to maintain marketplace quality, such review is for editorial and standards purposes only and does not constitute a warranty about any Listing, Owner, or workspace.
Section 05
User Accounts
Some features (including listing a workspace and managing inquiries) require an account. You agree to provide accurate, current, and complete information when registering and to keep your account information up to date.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use.
We may suspend or terminate accounts that contain inaccurate information, that are inactive for extended periods, or that violate these Terms.
Section 06
Seekers — rights and obligations
As a Seeker, you agree that you will:
- Provide accurate name, phone, email, and inquiry details;
- Use the Platform only for genuine workspace requirements — not for market research, lead harvesting, competitive intelligence, or scraping;
- Not submit inquiries with the intent to spam, defraud, or harass an Owner;
- Communicate with Owners professionally and honour any visits, calls, or appointments you schedule.
We may flag, deprioritise, or block Seekers who submit spam, abuse the inquiry system, or repeatedly waste Owner time.
Section 07
Owners — rights and obligations
As an Owner, you represent and warrant that:
- You have full legal authority to list, rent, license, or otherwise commercialise each workspace you list, including any required authorisations from co-owners, landlords, or principals;
- All information you provide — including ownership status, photographs, area, availability, pricing, amenities, and condition — is accurate and not misleading;
- Each workspace complies with applicable law, including building approvals, occupancy certificates, fire safety, zoning, and registration requirements;
- You will respond to qualified inquiries promptly (target: within two business hours) and conduct yourself professionally with Seekers;
- You will not discriminate against Seekers on the basis of religion, caste, gender, marital status, disability, or any other protected ground;
- Upon request, you will provide KYC documents (including PAN, GST registration if applicable, and proof of ownership or authorisation) for verification.
Owners are solely responsible for the content of their Listings and for any representations made to Seekers. OfficeOnDemand has no liability for the accuracy, legality, or condition of any listed workspace.
Section 08
Listing standards and admin review
Every Listing is subject to admin review before being made live. We may, at our sole discretion:
- Approve, reject, edit, or take down any Listing or photograph that violates these Terms or our published guidelines;
- Re-categorise a Listing into a more accurate property type or city/area;
- Withhold a Listing from going live pending KYC verification or clarification.
We do not promise to publish any particular Listing. Decisions to publish, de-publish, or modify Listings are made in our editorial judgment.
Section 09
Lead routing and anti-circumvention
When a Seeker submits an inquiry, the resulting Lead is shared with the relevant Owner via the Platform, email, WhatsApp, or other channels we deem appropriate. The Lead is provided to enable a potential Successful Match.
Anti-circumvention. Owners must not use Leads received through the Platform to deliberately structure a transaction outside the Platform with the purpose of avoiding Commission. This includes (without limitation):
- Routing the same Seeker to a related Owner, sister concern, or alternative premises off-platform to close the transaction;
- Pausing or removing a Listing immediately after receiving a qualified Lead and then closing the transaction off-platform;
- Pricing or terms negotiation through the Platform followed by deliberate redirection to an off-platform agreement to avoid Commission.
For a period of twelve (12) months from the date a Lead is delivered to an Owner, any Successful Match between that Seeker and that Owner (or any related Owner) — irrespective of channel, premises, or contracting entity — will be deemed a Successful Match under these Terms and will attract Commission.
Section 10
Commission, fees and payments
OfficeOnDemand charges Owners a Commission of 20% (twenty per cent) of the consideration payable by the Seeker for the first twelve (12) months of the Successful Match, calculated on the gross monthly value (excluding indirect taxes, maintenance pass-throughs, electricity charges and government dues).
Commission is payable only on Successful Matches. There is no listing fee, no monthly subscription, and no upfront payment from Owners.
- Invoice timing: Commission is invoiced upon execution of the lease, license, or other agreement between the Seeker and the Owner.
- Payment terms: Net 15 days from invoice date.
- GST: Goods and Services Tax will be charged additionally at the applicable rate.
- Late payment: Overdue amounts may attract interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
- Refunds: If a Successful Match is cancelled within thirty (30) days of execution due to material default by the Owner, Commission may be refunded pro rata at our discretion.
We reserve the right to modify pricing on prospective terms with at least 30 days notice to active Owners. Existing Commission obligations on pre-existing Leads are not affected.
Section 11
Acceptable use
You must not:
- Use the Platform for any unlawful, fraudulent, or deceptive purpose;
- Submit false, misleading, defamatory, infringing, or obscene Content;
- Scrape, crawl, copy, harvest, or extract data from the Platform by any automated means without our prior written permission;
- Reverse engineer, decompile, or attempt to derive source code of the Platform;
- Interfere with the Platform’s operation, security, or other users’ experience, including by overloading, spamming, or exploiting vulnerabilities;
- Impersonate any person or entity, or misrepresent your affiliation with anyone;
- Use the Platform to send unsolicited communications or to circumvent Commission obligations.
Section 12
User content and photos
You retain ownership of Content you submit (including photographs, descriptions, and inquiries).
By submitting Content, you grant OfficeOnDemand a non-exclusive, royalty-free, worldwide, sublicensable license to host, store, reproduce, display, adapt, translate, and distribute the Content on and through the Platform — including in marketing of the Platform and the Listing — for as long as the Content remains on the Platform and for a reasonable period thereafter to maintain operational records.
You represent and warrant that:
- You own or have the necessary rights to grant the license above for all Content you submit;
- Your Content does not violate the privacy, publicity, intellectual property, or other rights of any third party;
- Photographs are genuine, recent, and accurately depict the workspace.
We reserve the right to remove Content that we believe violates these Terms, applicable law, or community standards.
Section 13
Intellectual property
The Platform — including its design, code, copy, trademarks, logos, the “OfficeOnDemand” brand, the Cornice design system, the Tricity Snapshot, and all underlying data structures — is the property of OfficeOnDemand and is protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purposes. No other rights are granted by implication, estoppel, or otherwise.
Section 14
Third-party services
The Platform integrates with third-party service providers (including but not limited to Supabase, Cloudflare, Resend, Vercel, and WhatsApp/Wati). Each such provider operates under its own terms and privacy practices.
OfficeOnDemand is not responsible for the acts, omissions, availability, or policies of third-party providers. Links to third-party sites from the Platform are provided for convenience only.
Section 15
Disclaimers
The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, OfficeOnDemand disclaims all warranties of any kind, whether express, implied, statutory, or otherwise — including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted operation.
Without limiting the foregoing, we do not warrant that:
- Listings, descriptions, photographs, or amenities are accurate, complete, or current;
- Owners or Seekers will perform any commitments they make;
- The Platform will be uninterrupted, secure, error-free, or free of viruses or other harmful components;
- Any rental, license, or other agreement entered into through introductions made on the Platform will be successful, fair, or appropriate for your needs.
Seekers must conduct their own diligence on any workspace and Owner before entering into any agreement. This includes physical site visits, verification of ownership and authorisations, review of legal compliance, and independent legal/professional advice.
Section 16
Limitation of liability
To the maximum extent permitted by law:
- OfficeOnDemand will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including loss of profits, revenue, data, goodwill, or business opportunity — arising out of or in connection with the Platform, even if advised of the possibility of such damages;
- Our aggregate liability arising out of or related to the Platform or these Terms, regardless of the form of action (whether contract, tort, statute, or otherwise), will not exceed the greater of (i) the total Commission and fees paid by you to OfficeOnDemand in the twelve (12) months preceding the event giving rise to the claim, or (ii) Indian Rupees Ten Thousand (₹10,000).
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under Indian law.
Section 17
Indemnification
You agree to defend, indemnify, and hold harmless OfficeOnDemand, its proprietor, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of, or inability to use, the Platform;
- Your violation of these Terms or any applicable law;
- Any Content you submit, including any infringement of third-party rights;
- Any dispute or claim between you and another User, including disputes arising out of a Successful Match or any agreement entered into off-platform between Seeker and Owner.
Section 18
Termination and suspension
We may suspend or terminate your access to the Platform, in whole or in part, at any time, with or without notice, including for breach of these Terms, fraud, non-payment of Commission, or misuse of the Platform.
On termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination — including Commission obligations on pre-existing Leads, intellectual property, disclaimers, liability limits, and indemnity — will survive.
You may close your account at any time by writing to us at the contact address in Section 25. Closure does not affect accrued obligations.
Section 19
Changes to these Terms
We may modify these Terms from time to time. The current version is always available at this URL. When we make material changes, we will update the “Last updated” date at the top, and where appropriate, notify registered Users by email or in-product notice.
Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform.
Section 20
Force majeure
Neither party will be liable for failure or delay in performance due to events beyond reasonable control, including acts of God, natural disasters, war, terrorism, riots, civil unrest, government action, lockdowns, pandemics, internet outages, power failures, or third-party service disruptions.
Section 21
Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles.
Subject to Section 22 (Dispute Resolution), the courts at Mohali, Punjab will have exclusive jurisdiction over any disputes arising out of or in connection with these Terms or the Platform.
Section 22
Dispute resolution
Before initiating any formal legal proceedings, you agree to first contact us in writing at the address in Section 25 with a clear description of the dispute, and to attempt to resolve the matter through good-faith discussion for a period of at least thirty (30) days.
If the dispute is not resolved within this period, either party may refer the dispute to arbitration in Mohali under the Arbitration and Conciliation Act, 1996, by a sole arbitrator mutually appointed. The seat and venue of arbitration shall be Mohali. The language of arbitration shall be English.
The arbitrator’s award shall be final and binding, subject to the parties’ right of appeal as available under law.
Section 23
Notices
Notices to OfficeOnDemand should be sent to our registered office address in Section 03 or by email to [GRIEVANCE OFFICER EMAIL — to be filled before public launch].
Notices to you may be sent to the email address or phone number associated with your account, or displayed within the Platform. Notices delivered by email are deemed received on the day of transmission unless the sender receives an undeliverable notification.
Section 24
General provisions
- Entire agreement. These Terms (together with our Privacy Policy and any additional policies referenced) constitute the entire agreement between you and OfficeOnDemand regarding the Platform.
- Severability. If any provision is held to be unenforceable, the remaining provisions will continue in full force.
- No waiver. Our failure to enforce any provision does not waive our right to enforce it later.
- Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms to any affiliate or successor.
- No agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between OfficeOnDemand and any User.
- Headings. Section headings are for convenience only and do not affect interpretation.
